End User License Agreement

These Terms of Use apply to your use of the Uni-Amp website (the "Site") and to Uni-Amp (the "Software"), a developer-focused Unity/audio project distribution. By using the Site, purchasing the Software, downloading the Software, modifying the Software, or using the Software in an end-product, you agree to these terms.

1. Grant of license

Subject to a one-time payment of the license fee, these terms, and any checkout terms presented by Lemon Squeezy (see the Lemon Squeezy Buyer Terms), the Licensor grants the User a non-exclusive, perpetual, worldwide license to:

  • Use the Software for the development of an unlimited number of commercial or non-commercial end-products (e.g., games or applications).
  • Modify and use the Licensor’s provided source files, scripts, and other editable project materials for the purpose of integration into said end-products, in compliance with Section 5 for any third-party compiled components.
  • Distribute the Software only as a compiled component of an end-product (e.g., as part of an .exe or .apk).

The Software is provided as a full project distribution (for example, a Unity project folder). It includes editable source files, scripts, and other assets from the Licensor, together with third-party materials (including components under the MIT License or other permissive licenses). Some third-party components may be included only as compiled libraries (for example, .dll files) and remain subject to their respective licenses as described in Section 5.

2. Restrictions

The User shall not:

  • Sell, rent, lease, sublicense, or redistribute the source code or raw assets of the Software, in whole or in part, as a standalone product or as part of a "template" or "asset pack."
  • Make the source code available in a public repository (e.g., public GitHub).

3. Website use

The Site is provided for product information, documentation, support, purchase links, community links, and related communications. You may use the Site for lawful personal or business purposes related to evaluating, purchasing, downloading, or supporting Uni-Amp.

You shall not interfere with or disrupt the Site, attempt unauthorized access to systems connected to the Site, use automated scraping or abusive requests that burden the Site, submit unlawful or infringing material, or use the Site to violate the rights of others. Site content may be changed, removed, or updated at any time.

4. Ownership & royalties

Ownership: The Licensor retains all intellectual property rights, title, and interest in the Software. This license is a grant of use, not a transfer of ownership.

No royalties: This is a royalty-free license. The User owes no further compensation or percentage of revenue to the Licensor for end-products created using the Software.

5. Third-party licenses (attribution)

The Software contains components licensed under the MIT License or other permissive licenses. A full list of third-party components and their respective license texts can be found in the "Third-party licenses" text file in the Assets folder of the Software distribution package.

6. Limitation of liability

The Site and Software are provided "as is", without warranty of any kind, express or implied. The Licensor does not warrant that the Site, Software, downloads, source files, examples, or related materials will be error-free, uninterrupted, or fit for a particular purpose. In no event shall the Licensor be liable for any claim, damages, or other liability arising from the use of the Site, the Software, or end-products made with the Software.

7. Payments & Refunds

Purchases and payments are processed by Lemon Squeezy, our merchant of record. Their checkout, receipts, and payment terms apply to the transaction. See the Lemon Squeezy Buyer Terms.

All fees are processed by Lemon Squeezy and are generally non-refundable to the extent permitted by law. Any refund requests will be evaluated in accordance with the Lemon Squeezy Buyer Terms and applicable consumer protection regulations. By completing a purchase, you acknowledge that delivery or access to digital content may begin immediately, which can affect withdrawal rights where applicable law allows.

8. Termination

The Licensor may suspend or revoke your access to the Site, Software, updates, or related services if the Licensor reasonably believes you have breached these terms, including through piracy, unauthorized distribution, attacks on the Site, or other misuse. Upon termination, you must stop using the Software and destroy any copies not permitted to be retained under applicable law.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located within Marion County, Oregon, for the purpose of litigating all such claims or disputes.
